This Agreement is entered into between SD Coastal Backflow, a California-based backflow prevention services company, and the Member identified during enrollment.
The Coastal Crew Membership finances the annual backflow test fee(s) across eleven (11) equal monthly installments and provides a discounted rate on qualifying repair and replacement labor. This Agreement may cover one or more assemblies as listed in the Assembly Schedule.
The Initial Term is eleven (11) consecutive calendar months. This Agreement automatically renews annually unless either party provides written cancellation notice at least thirty (30) days before the renewal date. Renewal notice will be sent 30–60 days in advance.
A valid credit card must remain on file at all times. SD Coastal Backflow is authorized to charge the card on file for all monthly installments as shown in the Assembly Schedule. No credit card processing surcharge is charged. Failed payments must be cured within 7 days; an administrative fee of up to $25.00 may be assessed per occurrence.
The 20% labor discount applies to repair and replacement services at enrolled addresses only. Excluded: parts, materials, equipment, permit/agency fees, emergency premiums, warranty-covered services, and services during payment suspension. Cannot be combined with other offers.
To prevent renewal: Written notice at least 30 days before the renewal date (email with read receipt, certified mail, or in-person).
Mid-term cancellation by Member: SD Coastal Backflow will retain a Retention Fee not to exceed one (1) monthly installment payment per enrolled assembly. All remaining installment payments collected beyond the Retention Fee that have not been applied to a completed annual test will be refunded within fourteen (14) calendar days.
If the annual test has already been completed in the current term, no refund is due — the Retention Fee and the completed test are considered satisfied by payments already collected.
If SD Coastal Backflow initiates cancellation for reasons other than Member default, all payments beyond a completed test are refunded in full within 14 days with no Retention Fee.
Step 1 — Mandatory Good-Faith Negotiation: Before either party may retain legal counsel to pursue a claim or initiate arbitration, the disputing party must deliver written notice to SD Coastal Backflow describing the dispute and relief sought. SD Coastal Backflow has thirty (30) days to respond and attempt resolution. No formal proceeding may begin until this period expires without resolution.
Step 2 — Binding Arbitration: Unresolved disputes shall be settled by binding arbitration in San Diego County, California, administered by JAMS under its Streamlined Arbitration Rules. The arbitrator's award is final and may be entered as a court judgment. Each party bears its own costs unless the arbitrator finds a claim was frivolous.
Small Claims Exception: Either party may bring individual claims within California small claims court limits without first completing the negotiation period.
Class Action Waiver: All disputes are resolved on an individual basis. No class or representative actions.
SD Coastal Backflow's total liability shall not exceed payments received in the preceding 12 months. SD Coastal Backflow is not liable for indirect, incidental, or consequential damages, including regulatory fines or penalties.
This Agreement is governed by California law. The parties agree to resolve disputes in accordance with Section 6 above before any court filing.
Your electronic signature is legally binding pursuant to California Civil Code §1633.1 et seq. (Uniform Electronic Transactions Act) and has the same effect as a handwritten signature.
